TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern all business transactions, quotation services, customized glove box manufacturing, vacuum equipment sales, spare parts supply and after-sales cooperation between Gloveboxwholesale Vacuum Equipment Co., Limited (hereinafter “Supplier”) and all corporate purchasing clients, laboratories, industrial manufacturers, authorized business buyers (hereinafter “Buyer”) who place orders via https://www.gloveboxwholesale.com. All online inquiries, quotation requests and formal sales contracts are subject to these binding Terms.

1. Quotation & Validity Rules

1. All written quotations (Proforma Invoice) issued by our sales team remain valid for 30 calendar days from the issuing date. Prices will be adjusted automatically after expiry due to raw material, logistics and exchange rate fluctuations.
2. Quotations are categorized into standard stock glove box products and non-standard customized glove box systems. Custom solutions include exclusive design fees, mold costs and technical testing charges clearly marked on each PI.
3. Quoted prices do not include international ocean/air freight, destination country import tariffs, customs clearance fees, local delivery tax and on-site installation labor fees unless extra notes are stated on the PI.

2. Order Confirmation & Payment Terms

1. A formal binding sales contract takes effect only after Buyer pays the agreed deposit and returns the signed/stamped scanned copy of the Proforma Invoice to our sales email. Oral conversations or temporary chat messages do not constitute valid order confirmation.
2. Standard industry payment procedure for all glove box & vacuum equipment orders:
   • 30% advance deposit: paid by T/T wire transfer to arrange raw material procurement and production scheduling
   • 70% balance payment: fully settled before goods finish loading and international shipment
3. Supported payment methods: T/T bank transfer, PayPal corporate payment, Stripe corporate credit card payment. Third-party transfer handling fees shall be borne by the Buyer.
4. If the Buyer delays balance payment for more than 15 working days after production completion, the Supplier reserves the right to suspend shipment, store finished goods with daily warehousing charges, or cancel the order and deduct reasonable production loss compensation from the deposit.

3. Production & Delivery Schedule

1. Stock standard glove boxes, glove box spare parts and universal vacuum pumps: ready for shipment within 7 working days after deposit confirmation.
2. Customized glove box systems, ultra-high vacuum glove boxes, multi-station integrated glove box production cycle ranges from 20 to 40 working days, confirmed separately on each PI.
3. After full production completion, the Supplier will shoot complete factory inspection videos and test vacuum performance reports and send to the Buyer for confirmation; international logistics will only be arranged after the Buyer approves inspection results.
4. Estimated shipping transit time (air freight 5–12 days, sea freight 25–45 days) is for reference only, uncontrollable delays caused by port congestion, customs inspection, weather disasters or carrier schedule changes shall not be counted as Supplier liability.

4. Shipping, Risk Transfer & Customs Clearance

1. Default trade term is FOB main port of China. All goods transportation risk (damage, loss, shortage) transfers from Supplier to Buyer the moment goods are loaded onto the international carrier at the departure port.
2. The Supplier provides full set of customs clearance documents: commercial invoice, packing list, certificate of origin, glove box vacuum performance test report, product specification manual, to assist the Buyer’s import clearance.
3. All destination country import duties, customs fines, local inspection fees and inland delivery charges shall be fully undertaken by the Buyer. If the Buyer fails to complete clearance procedures on time, resulting in goods return or destruction, all losses shall be borne by the Buyer.

5. Warranty & After-Sales Service

1. Standard 12-month global warranty covers the complete glove box main body, vacuum valves and integrated control systems from the date of shipment. Core imported vacuum pumps follow the original manufacturer’s official warranty policy.
2. The warranty does NOT cover consumable glove box spare parts (butyl gloves, sealing O-rings, molecular sieves, filter cores) and damage caused by improper operation, unauthorized disassembly, corrosive gas corrosion, power surge, natural disasters or man-made accidents.
3. Within the warranty period, we provide free remote online technical guidance, circuit diagrams and spare parts replacement operation tutorials via email or video call. If on-site overseas maintenance is required, the Buyer shall bear all engineer travel expenses, accommodation fees and labor charges.
4. After the warranty expires, we provide long-term stable supply of original glove box spare parts at transparent factory direct prices, without hidden markup fees.

6. Product Return, Exchange & Refund Policy

1. Stock standard glove box spare parts can only be returned or exchanged within 7 working days after receipt, provided the goods remain unused, complete with original packaging and no scratch or corrosion damage; return shipping fees shall be covered by the Buyer.
2. Customized glove box systems with exclusive design, tailored size and special vacuum parameters cannot be returned or fully refunded after production starts, as the products cannot be resold to other clients.
3. Partial refund is only applicable when the Supplier delivers goods with confirmed manufacturing defects verified by official test videos; the refund amount will be negotiated based on the defective proportion of the order. Refunds will be processed via the original payment channel within 10 working days after mutual written agreement.

7. Intellectual Property Rights

All design drawings, technical parameters, internal vacuum structure solutions, product photos and technical manuals of our glove box series are protected by intellectual property copyright. The Buyer shall not copy, modify, resell or transfer our proprietary technical data to competing manufacturers without written authorization from the Supplier. Any unauthorized intellectual property infringement will result in legal compensation claims.

8. Force Majeure

Neither party shall be held liable for contract breach caused by unforeseeable force majeure events including but not limited to natural disasters, national epidemic control policies, factory power outages, international trade sanctions, raw material supply interruption, port strikes and carrier suspension. Affected parties shall notify each other within 3 working days and negotiate to adjust production or delivery schedules.

9. Dispute Resolution

All business disputes arising from glove box orders, quotations and cooperation shall first be resolved via friendly email negotiation between both parties. If negotiation fails, all disputes shall be submitted to arbitration at the local international arbitration commission where the Supplier’s factory is registered, judged in accordance with international commercial trade laws of China.

10. Termination of Cooperation

1. The Supplier reserves the right to terminate unilaterally any pending order if the Buyer conducts fraud, malicious default of payment, or infringes our intellectual property rights.
2. After order full delivery and warranty expiration, the basic service cooperation relationship remains valid for spare parts supply unless either party sends a written termination notice 30 days in advance.

11. Revision of Terms

Vacproduct reserves the right to update these Terms to match updated international trade, import and export supervision regulations. Updated Terms will be published on our website footer; continuous submission of quotations and placing orders after update release confirms your full acceptance of revised clauses.
